What Does a Transactional Lawyer Do

Transactional lawyers deal with all kinds of contractual matters. Some of them deal with real estate, while others work with intellectual property. However, these lawyers usually deal with contracts and negotiations. They can help you form a legal entity and advise you on your contracts. They can also help you fill out government forms and find tax exemptions. I think they are useful, but I certainly do not think they are indispensable. It`s a good idea to train in business. Our program, Milbank@Harvard for example, has professors at Harvard Business School who teach our middle-class staff about finance, accounting, marketing, and management. I think it`s important to have this understanding, especially for mid-level employees, but formal business courses, let alone an MBA, are certainly not a prerequisite for a successful career in transaction law.
Historically, few, if any, have done so. For example, many law students view their 1L contract course as a barometer of what transaction law is, but in reality, like all other 1L courses, it actually only provides the legal basis and principles of what it takes to create an enforceable contract. Often, what you learn about tort and civil procedure is just as important in structuring a transaction. Similarly, courses are offered on secured transactions or securities law, but any content course like this will only be useful to help you decide whether or not you like transaction law. However, a favorable trend has developed and law schools have begun to offer a number of practical courses that cover specific areas such as negotiations in mergers and acquisitions transactions and “deals” seminars, which in my opinion make law students much more familiar with the actual practice of transactional and business law. Law schools also allow students to take courses at different schools, such as the Business School. I had a course in financial markets taught at business school, which in no way made me an expert in finance or financial markets, but it opened my eyes to something I had never explored or understood before. You know how to interview a lawyer, but do you know what to look for in a lawyer? Here are some qualities you should look for to make sure the lawyer you choose is right for your business: I believe that the best transactional lawyers continue to be those who have some specialization (such as mergers and acquisitions or corporate finance), but are not limited by this area and are not intimidated to venture into other areas when needed. For example, one of my partners used to run our leveraged financing practice, but he is now co-responsible for our project finance practice.
Leveraged financing and project financing are very different in some respects, but similar in others. The ability to understand the basics but extrapolate into new areas is what I think makes an excellent transactional lawyer. Those who master the basics of a certain field of activity, but remain flexible in what they can and want to do, have the best chance of professional longevity, fulfillment and success.
